Will a new unactivated tivo (s2dt) complete guided setup? If it will, will it download the latest version of the software as well?

Thanks,
BGC

If the TiVo has never been connected to the TiVo service you will get about 6 days of free full (almost) operation of your TiVo, you will get the guide data and any new software, if the TiVo already had connected to the TiVo service at anytime in the past you will get only any new software but not any guide data.
Will you 6 days of free full operation of your TiVo, with the guide data if you replace the hard drive if it doesn't have service?

Replacing the hard drive has nothing to do with the free 6 days of service, if the TiVo itself has never called home from any hard drive, then replacing the hard drive will not change its status and you will get the 6 free days, but if the TiVo has called home anytime in the past, changing the hard drive will not get you any free days of service as the TiVo servers only look at the TSN of the TiVo to determine if that TiVo will get the 6 free days.
I can confirm with the Premiere.

Once you use up the free trial, it's gone.
I upgraded the hard drive after the trial period, and the new hard drive kept the same status -- "Never Set Up - Call TiVo at ...."

I wish I had been able to do the swap before the free trial expired so I could experiment, but I assume if a hard drive with days left on the free trial was put back in, the free trial would be gone the next time the Tivo connected to the mothership.

The subscription status has absolutely nothing to do with the hard drive and never has.

and to answer the OP
Yes. Guided setup has never been dependent on having a subscription of any kind.

The free days is timed on your TiVo itself, so if you set up a new TiVo than stopped calling home the TiVo would still have only the 6 free days, I don't know what would happen if you set up the TiVo having the free 6 days of service, removed the battery for a few seconds than booted up the TiVo without a network or phone connection, you would have the incorrect time and date but would the TiVo still record ?
