Can't hear any noice from either unit, unless you are within two feet, then you have to really listen to hear it...

    both are quiet...

Now that the S3 can be had for about $130 more than the HD ($579 at Vanns minus a $200 mail-in rebate, or $249 for the HD at Vanns or Amazon), and the new Fall update has just been rolled out to both boxes, what are the reasons to choose one over the other?

I'm still choosing the HD over the S3 because the rebate requires a new activation. I'm transferring the service from a single tuner S2 to the HD. I'm getting a tremendous upgrade for a minimal investment (~$250 at Amazon).

I'm a DirecTiVo user switching to Comcast cable, so no service transfer for me. Tough decision here; I know the HD is newer than the S3, so the only reason to get the S3 is the better case and OLED display (I can just buy the learning remote separately)?

One of the "cons" listed for the TiVoHD is "No Lifetime Transfers".

Does this imply that I could transfer my Lifetime sub to a TiVo S3?

Past tense. TiVo made a limited time offer for transferring any existing lifetime to an S3 for an additional $199. Rumor had it that despite the time limit expiring, you could still do it with a little CSR roulette.
